Review clauses are included in many leases. Things that might trigger a review include:

  • Lease nearing its end date.
  • Changes in farm commodity prices.
  • Mechanism for dealing with farm investment.
  • Changes to EU schemes.
  • Leases are legally binding agreements as such, and can only be reviewed or changed when either:

    a) Both parties agree to a review or change, or

    b) A clause in the lease agreement is triggered.

    In the absence of any trigger clause, a change or review can only be effected by mutual consent.

    When a lease agreement is being drawn up, it is important that all parties are very clear to what they are agreeing – what are the terms and conditions, whether or not there is to be a review mechanism and if so how that will operate.

    For these reasons, it is best that lease agreements are facilitated by an independent expert like The Land Mobility Service.

    We have encountered a number of lease agreements that have broken down because there was no proper facilitation at the start. Reasons for the breakdown include:

  • The parties were not clear as to the terms and conditions.
  • The terms or rent were not realistic.
  • Misunderstandings over EU entitlements.
  • Poor communication between the parties.

    Leases breaking down are not good for either party, which highlights the importance of choosing the right person and ensuring both parties are very clear from the onset.

    Should the farmer (tenant) not be able or refuse to pay the rent as agreed or does not comply with other terms of the lease, like proper farm upkeep or good farming practice, the farmer (tenant) is in breach of the lease and is obliged to vacate the lands.

    Where this arises, the landowner is not exposed to any clawback of the income tax relief.
